Please read these Terms of Service ("Terms") carefully before using the Nstock application (the "Service"), operated by Nstock ("Nstock", "we", "us", or "our"). These Terms, together with our Privacy Policy, constitute the complete agreement between you and Nstock governing your access to and use of the Service, including the license granted to you to use it (see Section 3, "License Grant / End-User License Agreement").
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service. By creating an account or otherwise using the Service, you agree to be bound by these Terms.
1. Description of Service
Nstock is a cloud-based (software-as-a-service) inventory and manufacturing management platform. The Service is accessed entirely through your web browser — no software is downloaded or installed on your device. The Service may offer optional integrations with third-party platforms, including but not limited to Shopify, WooCommerce, and QuickBooks Online, subject to Section 6 below.
2. Accounts and Registration
When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding your account credentials and for any activity that occurs under your account. Failure to provide accurate information, or failure to safeguard your credentials, may result in suspension or termination of your account.
3. License Grant / End-User License Agreement
Subject to your compliance with these Terms and payment of any applicable fees, Nstock grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during the term of your subscription. This license is the entirety of the rights granted to you in the Service — no other rights are implied.
You may not, and may not permit any third party to: (a) copy, modify, or create derivative works of the Service; (b) reverse engineer, decompile, or otherwise attempt to derive the source code of the Service, except where such restriction is prohibited by applicable law; (c) rent, lease, resell, sublicense, or otherwise make the Service available to any third party outside your own organization; (d) remove or obscure any proprietary notices; or (e) use the Service to build a competing product or service.
This license terminates automatically if you breach these Terms, or upon cancellation or non-renewal of your subscription, at which point you must cease all use of the Service. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and governing law) will survive.
4. Company Data and Intellectual Property
The Service and its original content, features, and functionality (excluding Company Data, defined below) are and will remain the exclusive property of Nstock and its licensors, and are protected by copyright, trademark, and other intellectual property laws. You retain all right, title, and interest in and to the data you input into the Service — including inventory records, product and BOM data, production data, supplier information, and order data ("Company Data"). We claim no ownership over your Company Data. You grant Nstock a limited license to host, process, and display your Company Data solely as necessary to provide the Service to you.
5. Acceptable Use
You agree not to use the Service to: violate any applicable law or regulation; infringe the intellectual property or other rights of any third party; transmit any malicious code; attempt to gain unauthorized access to any portion of the Service or its related systems; or interfere with or disrupt the integrity or performance of the Service.
6. Third-Party Integrations
The Service offers optional integrations with third-party platforms, including Shopify, WooCommerce, and QuickBooks Online. Connecting a third-party account is entirely your choice, and doing so is also governed by that third party's own terms of service and privacy policy, which you are responsible for reviewing and accepting separately. Nstock is not responsible for the availability, accuracy, security, or content of any third-party service, and we are not liable for any loss or damage arising from your use of, or inability to use, a connected third-party service. You may disconnect any integration at any time from within the Service.
Shopify, WooCommerce, and QuickBooks Online (and their respective logos) are trademarks of their respective owners. Nstock's integrations with these platforms do not imply any affiliation with, sponsorship by, or endorsement from Shopify Inc., Automattic Inc. (WooCommerce), or Intuit Inc. (QuickBooks).
7. Subscriptions and Billing
Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring, periodic basis (a "Billing Cycle"), either monthly or annually depending on the plan you select. Payments are processed by our third-party payment processor, Stripe; Nstock does not store your full payment card details. Subscriptions renew automatically unless cancelled prior to the renewal date. Fees are non-refundable except where required by law or expressly stated at the time of purchase.
8. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, including for breach of these Terms. You may cancel your account at any time from within your account settings. Upon termination, your right to use the Service ceases immediately; provisions of these Terms that by their nature should survive termination will survive.
9. Disclaimer of Warranties
Your use of the Service is at your sole risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. Nstock does not warrant that the Service will be uninterrupted, timely, secure, or error-free.
10. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Nstock, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of, or inability to access or use, the Service. Nstock's total aggregate liability arising out of or relating to these Terms or the Service shall not exceed the amount you paid Nstock in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold Nstock harmless from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third party's rights.
12. Governing Law
These Terms shall be governed and construed in accordance with the laws of the jurisdiction in which our company is established, without regard to its conflict of law provisions.
13. Changes to These Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will try to provide at least 30 days' notice prior to any material change taking effect, via email or an in-app notice. What constitutes a material change will be determined at our sole discretion. Continued use of the Service after any such change constitutes your acceptance of the new Terms.
